Chapter 1 General Provisions
Article 1 (Purpose)
These Terms and Conditions aim to regulate the rights, obligations, and responsibilities of “Green CS Co., Ltd.” and users, and other necessary matterswhen using the services provided by the Complex Environmental Control System (MAGMAPLUS-1000), and the Water Supply System (MAGMA-1000 V2.0) operated by Green CS Co., Ltd.
Article 2 (Definitions)
① The definitions of terms used in these Terms are as follows: Any matters not defined in these Terms and Conditions shall be governed by the relevant laws and regulations, and the guidelines specified for each service. Otherwise, they will be subject to general custom.
1. Registered user: A registered user who has obtained business administrator authority or analysis user authority is referred to as a registered user.
2. Administrator: An individual or organization that has been assigned an ID for the management of the Complex Environmental Control/Water Supply System
3. Password: A combination of letters and numbers selected by the registered user to confirm that the registered user is a registered user that matches the assigned user identification code (OnePass ID), and to protect the rights and interests of the registered user
Article 3 (Specification, Description and Amendment of Terms and Conditions)
① Green CS Co., Ltd. publishes the content of these Terms and Conditions, business name, office location, name of representative, contact information (telephone, email address, etc.) for users to access.
② These Terms and Conditions shall be published online through the Smart Greenhouse Complex Environmental Control System (http://iot.gcsmagma.com/magma_en/) of Green CS Co., Ltd. and shall take effect with the consent of the registered user and the approval from Green CS Co., Ltd. These Terms and Conditions may be amended to the extent that they do not violate related laws such as the Act on the Regulation of Terms and Conditions, the Framework Act on Electronic Documents and Transactions, the Digital Signature Act, the Act on Promotion of Information and Communications Network Utilization, etc., the Act on Door-to-Door Sales, etc., and the Consumer Protection Act. The revised Terms and Conditions shall take effect by the notice in accordance with due process.
③ When Green CS Co., Ltd. amends the Terms and Conditions, the current Terms and Conditions shall be announced, along with the application date and reasons for the revision, on the initial screen of Green CS Co., Ltd. from 7 days before the effective date to the day before the effective date. However, if the Terms and Conditions are changed to the disadvantage to users, users will be notified with a grace period of at least 30 days. In this case, Green CS Co., Ltd. clearly compares the contents before and after the revision, and marks them so users can easily notice them.
④ When Green CS Co., Ltd. amends the Terms and Conditions, the revised Terms and Conditions apply only to the contracts concluded after the effective date. For the contracts already concluded before the revision, the Terms and Conditions before the amendment shall continue to apply. However, if a user, who has already entered into a contract, sends the user’s wish to be bound by the revised Terms and Conditions to Green CS Co., Ltd. within the notice period of the revised Terms and Conditions under Clause 3, the revised Terms and Conditions shall apply.
⑤ If registered users does not agree to the changed Terms and Conditions, the registered users may terminate their use of the service and withdraw from being a registered user. However, if a registered user continues to use the service for a considerable period of time (100 days or more) after the effective date of the revised Terms and Conditions, the registered user deemed to have agreed to the change of the Terms and Conditions.
Green CS Co., Ltd. shall not be held responsible for any damages to registered users caused by not knowing information about the changed Terms and Conditions.
Article 4 (Rules other than Terms and Conditions) ① Matters not specified in these Terms and Conditions shall be governed by the Electronic Transaction Consumer Protection Guidelines established by the government, and relevant laws or commercial practices.
Chapter 2 Conclusion of Use Contracts
Article 5 (Provision and Change of Services)
① Green CS Co., Ltd. performs the following tasks:
1. Smart Farm information linkage and collection
2. Smart Farm information analysis
3. Complex Environmental System control and monitoring
4. Water Supply Control System control and monitoring
Article 5 (Interruption of Service)
① Green CS Co., Ltd. may temporarily suspend the provision of the services in the event of maintenance, replacement and malfunction, loss of communication, etc. of information and communication facilities such as computers.
② In the event that the service cannot be provided due to the conversion of business items, abandonment of business, integration with other companies, etc., Green CS Co., Ltd. shall notify users in the method specified in Article 10 [Notification to Registered User].
Article 6 (Establishment and Unit of Use Contract)
The Use Contract shall be established by the approval of the use from Green CS Co., Ltd. to the application for use of the registered user who has agreed to the Terms and Conditions.
The Use Contract is concluded on a per-registered user ID basis, and only one registered user ID is issued to each user.
However, in the case of special use of services, such as additional service added at the request of registered users, mass use of services, or linkage services between the service computer and other computers, it will be provided by a separate contract.
Article 7 (Joining as Registered User)
① Users can register as registered users free of charge. Users apply for user registration by filling in the user registration information according to the registration from set forth by Green CS Co., Ltd. and expressing their consent to these Terms and Conditions.
② Green CS Co., Ltd. shall register a user among the users who have applied to join as a registered user as described in Clause 1 unless they fall under any of the following:
1. In cases where the applicant has previously lost registered user qualifications according to Clause 3 of Article 9 [Withdrawal and Disqualification of Registered User, etc.], except when three years have been passed since the loss of registered user qualifications according to Clause 3 of Article 9 [Withdrawal and Disqualification of Registered User, etc.], and the individual has obtained the approval of Green CS Co., Ltd. to re-join as a registered user
2. In cases where there are false, omitted, or incorrect details in the registration information
3. In other cases where it is judged that registering as a registered user is a significant obstacle to the technology of Green CS Co., Ltd.
② The time of establishment of the registration of use shall be the time of approval by Green CS Co., Ltd.
③ If there are any changes to the registered information, the registered user shall immediately notify Green CS Co., Ltd. of the changes according to the method prescribed by Green CS Co., Ltd. or revise the information accordingly.
Article 8 (Withdrawal and Disqualification of Registered User, etc.)
① Registered users may request withdrawal at any time from the site operated by Green CS Co., Ltd., and Green CS Co., Ltd. will immediately process the withdrawal of the registered user. If withdrawal is requested from one website and the request is accepted accordingly, the access as a registered user will be restricted from all websites.
② Green CS Co., Ltd. may restrict or suspend registered user qualifications if the registered user falls under any of the following reasons:
1. In the event that false information was provided when submitting the application for registration
2. In the event that another person’s ID, password, or personal information is used
3. In the event of interfering with another person’s use of Green CS Co., Ltd. services, using other’s information illegally, damaging other’s reputation, or causing harm to others
4. In the event of engaging in actions that is prohibited by laws or these Terms and Conditions, or contrary to public order and good morals
④ If Green CS Co., Ltd. revokes the registered user qualifications, the registration of registered user will be canceled. In this case, the registered user will be notified.
Article 9 (Notification to Registered User)
① Green CS Co., Ltd. will send the notifications when needed to the email address specified by the registered user in advance by making an agreement with Green CS Co., Ltd.
② In the case of notifying an unspecified number of registered users, Green CS Co., Ltd. may post the notification on the bulletin board for over one week instead of individually notifying each user. However, individual notification will be given for matters that have a significant impact on the transaction of the registered user.
Article 10 (Changes to Use Contract Details)
If there are changes to the registered user information provided at the time of application for the use of the service, registered users should modify their information online. The responsibilities for problems arising from failure to update information lies with the registered user.
Chapter 3 Obligations of Contracting Parties
Article 11 (Obligations of Green CS Co., Ltd.)
① Green CS Co., Ltd. shall not engage in acts prohibited by laws or these Terms and Conditions or contrary to public order and good morals, and shall do its best to provide continuous and stable services as stipulated in these Terms and Conditions.
② Green CS Co., Ltd. shall have a security system to protect user’s personal information for user’s safe internet service use.
③ Green CS Co., Ltd. shall be liable for compensating users for damages if users suffer losses due to unfair label and advertisement as defined in Article 3 of the Fair Labeling and Advertising in relation to its products and services.
④ Green CS Co., Ltd. does not send commercial emails for advertising purposes to users who have expressed their intention to refuse subscriptions.
⑤ Green CS Co., Ltd. may prepare and use statistical data on the personal information of all or part of the registered user in connection with its business, and may transmit cookies to the computer of the registered user through the service.
⑥ In order to provide continuous and stable service, Green CS Co., Ltd. shall repair or restore any equipment with failure or loss without delay unless there is an unavoidable reason.
⑦ If it is objectively recognized that the opinions or complaints raised by registered users are justified, Green CS Co., Ltd. shall promptly handle them through appropriate procedures. In cases where immediate handling is difficult, the reasons and expected processing schedule must be notified to the registered user.
Article 12 (Protection of Personal Information)
Green CS Co., Ltd. makes efforts to protect the personal information of registered users in accordance with the relevant laws. The handling and use of personal information shall be subject to the relevant laws and Green CS Co., Ltd.'s privacy policy. However, the company's privacy policy does not apply to linked sites other than the official website of Green CS Co., Ltd. In addition, registered users must thoroughly manage their password so that it is not exposed to others. Green CS Co., Ltd. is not responsible for the information exposed due to reasons attributable to the registered users.
① When collecting personally identifiable personal information of a user, Green CS Co., Ltd. must obtain the consent of the user.
② Provided personal information cannot be used or provided to third parties beyond the stated purpose, and Green CS Co., Ltd. bears full responsibility for this.
③ Users have the right to access and correct their personal information held by Green CS Co., Ltd. at any time, and Green CS Co., Ltd. is obliged to take necessary measures promptly. If a user requests correction of an error, Green CS Co., Ltd. will not use the personal information until the error is corrected.
④ To protect personal information, Green CS Co., Ltd. maintains the number of administrators to a minimum, and takes full responsibility for any user losses caused by the loss, theft, leakage, or alteration of users' personal information.
⑤ Accounts inactive for more than one year will be automatically disabled.
Article 13 (Consignment of Personal Information)
In principle, Green CS Co., Ltd. performs work such as handling and managing collected personal information (hereinafter referred to as "Work") on its own, but if necessary, it may entrust part or all of its Work to a company selected by Green CS Co., Ltd.
Article 14 (Obligations of Registered Users)
① Registered users must comply with the provisions of these Terms and Conditions, service usage instructions, and precautions.
② Registered users are obligated to maintain and update the registration information required in the registered user application form to be true, accurate, and complete and consistent with current facts.
③ Except for Article 13, registered users are responsible for the management of the ID and password.
④ If registered users recognize that their ID and password have been stolen or are being used by a third party, they must promptly notify Green CS Co., Ltd. and follow any instructions provided by Green CS Co., Ltd.
⑤ Registered users shall not use the service for commercial purposes without prior consent, and Green CS Co., Ltd. shall not be responsible for the results of the business activities. If Green CS Co., Ltd. suffers damages due to such business activities, the registered user is liable for compensation, and Green CS Co., Ltd. may restrict the registered user’s service use or claim damages through legal procedures.
⑥ Code of Conduct of Registered Users
1. Registered users are solely responsible for the postings posted by the registered users through the service.
2. Registered users shall not engage in any act that is illegal, harms others, damages the reputation of others, interferes with the business of Green CS Co., Ltd., or damages the reputation of Green CS Co., Ltd.
3. Registered users must not collect or store others' personal information or misuse it.
4. Registered users shall not transfer or give the right to use the service or other status under the use contract to another person, and shall not provide it as collateral, unless given express consent.
Chapter 4 Restrictions on the Use of Services, etc.
Article 15 (Restriction on Use of Services)
① Registered users shall ensure that the content of the service use on the bulletin board, etc., do not fall under any of the following. If they do fall under any of the following, Green CS Co., Ltd. may restrict the use of the platform by restricting or deleting the publication of the data after its own deliberation.
1. Violating public order and good morals
2. Being involved in a criminal offense
3. Damaging the reputation of another person or causing a disadvantage
4. Interfering with the stable operation of the service or being likely to do so
5. When the contents infringe the intellectual property rights of another registered user or a third party, or are considered to be subject to claims of intellectual property rights infringement by the holder.
6. When there is a request for correction from an external organization such as the Korea Communications Commission, or an illegal election campaign or similar acts are involved.
7. Acts of modifying the client program, hacking the server, or arbitrarily changing part or all of the website or posted information without being granted special rights by Green CS Co., Ltd.
8. Interfering with the normal operation of the service, such as impersonating the management, employees, or related persons of Green CS Co., Ltd., or deliberately obstructing the service.
9. In addition to this, Green CS Co., Ltd. may manage/operate posts through a separate post management policy.
10. In case of violation of these Terms and Conditions and other conditions of use and related laws and regulations set by Green CS Co., Ltd., registered users shall not copy, reproduce, modify, or translate the searched materials and provide them to others, or provide their user registration number for the use of others.
② Registered users must comply with the restrictions on use posted in the service guide or separately announced.
③ Registered users shall not engage in business activities except as permitted by Green CS Co., Ltd.
④ Green CS Co., Ltd. may restrict or suspend all or part of the service when the use of the service is hindered due to unavoidable circumstances such as a national emergency, failure of service facilities, or congestion of service use.
Chapter 5 Disputes and Liability
Article 16 (Indemnification)
① Green CS Co., Ltd. is not responsible for any damages that occur during the use of the service without a reason for the responsibility of Green CS Co., Ltd.
② If the service cannot be provided due to force majeure or similar circumstances beyond control, Green CS Co., Ltd. shall be exempt from liability for service provision.
③ If registered users’ fault causes disruption in using the service, Green CS Co., Ltd. shall be exempt from liability.
④ Green CS Co., Ltd. shall not be held responsible for the content posted by registered users such as information, data, or reliability and accuracy based on the facts.
⑤ Green CS Co., Ltd. shall not be obliged to intervene in disputes between registered users or between registered users and third parties arising from the service. Green CS Co., Ltd. shall not liable for compensation for damages resulting from such disputes.
⑤ Green CS Co., Ltd. is not responsible for any damages (including product liability) incurred by the buyer due to defects, errors in product registration information, etc., of goods traded through the transaction brokerage service.
⑥ Green CS Co., Ltd. operates independently and is not responsible for transactions conducted between users.
⑦ Liability for damages caused by unavoidable reasons such as repair, replacement, periodic inspection, and construction of service facilities is exempted.
Article 17 (Restriction on Attribution and Use of Copyright)
① Copyright and other intellectual property rights for the posted work belong to Green CS Co., Ltd.
② Users shall not use the information obtained through the use of Green CS Co., Ltd. for commercial purposes or use it to a third party by copying, transmitting, publishing, distributing, broadcasting, or other methods without the prior consent of Green CS Co., Ltd.
③ Green CS Co., Ltd. shall notify users in advance when using copyrighted works belonging to users according to an agreement.
④ The copyright for content created and posted by registered users on Green CS Co., Ltd. belongs to the registered users themselves, and they shall be fully responsible for any infringement of others' intellectual property rights resulting from such content.
⑤ Registered users grant Green CS Co., Ltd. a non-exclusive, royalty-free license to use their created and registered content for operating, transmitting, distributing, or promoting the service. This license remains valid for the duration of Green CS Co., Ltd.'s service operation, even after the registered users' withdrawal.
1. Reproduction, display, distribution, compilation of registered users' postings within the relevant services provided.
2. In addition to the above-mentioned licenses, if Green CS Co., Ltd. wants to use the posts of the registered users commercially, Green CS Co., Ltd. must obtain the prior consent of the registrant. In the case of commercial use of the post of registered users, a separate compensation system may be operated.
⑥ If a third party claims copyright or other rights infringement related to registered users' posted content, Green CS Co., Ltd. may delete the content temporarily. After resolving the legal issue related to the content, Green CS Co., Ltd. may repost the content if there is an application from the registered user based on the resolution.
Article 18 (Dispute Resolution)
① Green CS Co., Ltd. establishes and operates a damage compensation processing body to reflect legitimate opinions and complaints from users and compensate for damages.
② Green CS Co., Ltd. will prioritize complaints and opinions submitted by users. However, if it is difficult to process quickly, the user will be notified immediately of the reason and processing schedule.
③ In the event of an e-commerce dispute arising between Green CS Co., Ltd. and a registered user, the registered user's application for damage relief may be subject to the mediation of a dispute resolution agency commissioned by the Fair Trade Commission or the city/provincial governor
Article 19 (Jurisdiction and Governing Law)
① Disputes between Green CS Co., Ltd. and users regarding the use of services shall be subject to the laws of the Republic of Korea, and any lawsuit arising out of this dispute shall be filed in the courts of the Republic of Korea.
Additional Provisions
1. These Terms are effective as of January 1, 2023.
